Study Plans Terms and Conditions

These Terms and Conditions govern the purchase, access, licensing, and use of all study packs, drawings, digital files, engineering documents, CAD data, and associated materials supplied by Streamlined Design. By purchasing, downloading, accessing, or using any Product supplied by the Company, the Purchaser agrees to be bound by these Terms and Conditions.________________________________________1. DefinitionsIn these Terms and Conditions:Company means Wavemaster Design Pty Ltd ATF The WMI Investment Trust trading as Streamlined Design.Purchaser means the individual, company, organisation, educational institution, or entity purchasing or accessing the Products.Products includes Study Packs, drawings, structural details, CAD models, digital documentation, calculations, spreadsheets, renders, images, videos, PDFs, and associated materials supplied by the Company.Study Pack means a digital information package supplied for educational, reference, research, or study purposes.Intellectual Property includes all copyright, design rights, trademarks, confidential information, know-how, engineering methods, CAD data, production methodologies, structural arrangements, hull forms, geometry, and associated proprietary material.________________________________________2. Nature of the ProductsThe Products supplied by the Company are provided primarily as educational and reference material.Study Packs are intended to provide insight into marine design workflows, production engineering methodology, structural detailing, fabrication planning, CAD integration, and associated technical processes.Unless explicitly stated otherwise in writing:• Study Packs are not supplied as certified engineering documentation.• Study Packs are not supplied for regulatory approval purposes.• Study Packs are not supplied as survey-ready documentation.• Study Packs are not supplied with engineering certification.• Study Packs are not guaranteed to comply with the laws, standards, or regulations of any jurisdiction.The Purchaser acknowledges that the Products may contain historical designs, legacy methodologies, conceptual arrangements, production examples, or incomplete documentation and are intended for study purposes only.________________________________________3. No Production or Commercial Rights GrantedPurchase of a Study Pack does not grant any right to:• Manufacture products.• Produce commercial goods.• Commercially exploit the Products.• Reproduce the Products for sale.• Create commercial derivative products.• Market products derived from the Products.• Redistribute technical content from the Products.No manufacturing, commercial production, or commercial exploitation rights are granted under these Terms.________________________________________4. Intellectual Property OwnershipAll Intellectual Property associated with the Products remains the exclusive property of the Company.Nothing in these Terms transfers ownership of any Intellectual Property to the Purchaser.The Purchaser receives only a limited, non-exclusive, non-transferable licence to access and use the Products for personal educational and reference purposes.This licence does not permit:• Redistribution of files.• Sharing files with third parties.• Uploading files to websites or file-sharing services.• Resale of the Products.• Commercial use of the Products.• Creation of derivative digital reproductions.• Commercial exploitation of modified versions of the Products.________________________________________5. Reverse Engineering and Derivative WorksThe Purchaser must not:• Reverse engineer any supplied CAD model, digital geometry, or data structure.• Create derivative digital reproductions of the Products.• Copy or reproduce structural arrangements for commercial purposes.• Commercially exploit modified versions of the Products.• Use scanning, digitising, modelling, or reconstruction techniques to reproduce the Products for commercial purposes.Modification or reinterpretation of the Products does not transfer ownership of the underlying Intellectual Property.All underlying Intellectual Property rights remain the exclusive property of the Company.________________________________________6. No Certification or Regulatory ApprovalUnless expressly stated otherwise in writing, the Products:• Are not supplied with engineering certification.• Are not supplied as regulatory documentation.• Are not supplied as survey-ready documentation.• Are not guaranteed to comply with any standards, codes, or regulations.________________________________________7. No WarrantyTo the maximum extent permitted by law, all Products are supplied “as is” and without warranties of any kind.The Company makes no warranty or representation regarding:• Accuracy.• Completeness.• Fitness for a particular purpose.• Regulatory suitability.• Technical suitability.The Purchaser acknowledges that interpretation and application of technical information involves professional judgement and independent verification.The Purchaser assumes full responsibility for any interpretation or use of the Products.________________________________________8. Limitation of LiabilityTo the maximum extent permitted by law, the Company shall not be liable for:• Any direct loss.• Indirect loss.• Consequential loss.• Commercial loss.• Loss of profits.• Loss of opportunity.• Business interruption.• Personal injury.• Property damage.• Regulatory non-compliance.• Any loss arising from reliance on the Products.• Any loss arising from interpretation or use of the Products.The Products are supplied as educational and reference material only and are not supplied as certified engineering or regulatory documentation.Where liability cannot legally be excluded, the Company’s liability shall be limited to the purchase price paid for the relevant Product.________________________________________9. Professional AdviceThe Products do not constitute professional engineering advice for any specific application unless separately agreed in writing.The Purchaser is responsible for obtaining independent professional advice appropriate to any intended application of the information.________________________________________10. Technical SupportUnless expressly stated otherwise, purchase of a Study Pack does not include ongoing technical support.The Company may, at its discretion, answer limited general questions relating to the Products.The Company is under no obligation to:• Provide engineering assistance.• Modify designs.• Update files.• Troubleshoot software issues.• Provide consulting services.Additional consulting services may be offered separately at the Company’s standard consulting rates.________________________________________11. Digital DeliveryProducts are generally supplied electronically.The Purchaser is responsible for:• Maintaining backup copies.• Ensuring compatibility with their software systems.• Maintaining adequate cybersecurity.• Preventing unauthorised access to the files.The Company is not responsible for:• Software compatibility issues.• Corrupted downloads.• Loss of files.• Third-party software issues.• Future software compatibility.________________________________________12. Refund PolicyDue to the digital nature of the Products:• All sales are final.• Refunds are not provided for change of mind.• Refunds are not provided once files have been delivered or downloaded.If a file is materially corrupted or incomplete, the Company may provide a replacement copy at its discretion.________________________________________13. Confidentiality and AI RestrictionsThe Purchaser must keep all supplied files and materials confidential.The Purchaser must take reasonable steps to prevent unauthorised copying, sharing, or distribution of the Products.The Purchaser is responsible for ensuring that employees, contractors, consultants, and associated parties comply with these Terms.The Purchaser must not use, upload, submit, process, train, fine-tune, analyse, or otherwise utilise any part of the Products for the development, training, improvement, testing, or validation of:• Artificial intelligence systems.• Machine learning systems.• Generative AI systems.• CAD automation systems.• Design automation systems.• Engineering automation systems.• AI-assisted naval architecture tools.• AI-assisted marine design systems.• Data models or datasets.This restriction applies whether the use is direct or indirect and includes:• Use of drawings, CAD files, calculations, text, images, geometry, dimensions, arrangements, structural details, or metadata.• Creation of datasets derived from the Products.• Use of screenshots, scans, exports, conversions, or reconstructed geometry.• Use in public or private AI systems.• Use in commercial or non-commercial AI development.The Purchaser must not permit any third party, software provider, contractor, or AI platform to access the Products for these purposes.No rights are granted for data extraction, machine learning, or AI-related use.All such rights are expressly reserved by the Company ________________________________________14. Educational Use by InstitutionsEducational institutions purchasing the Products may use them internally for teaching and educational discussion purposes only.Educational purchase does not grant rights to:• Redistribute files externally.• Publish files online.• Commercially exploit the Products.Multi-user or institutional licensing arrangements may require separate written agreement.________________________________________15. Marketing and Public ReferenceThe Company retains the right to:• Reference the existence of the Products.• Reference associated projects.• Use images, renders, or excerpts for promotional purposes.• Refer to projects in articles, case studies, or technical discussions.Purchase of the Products does not grant any ownership rights in the associated Intellectual Property.________________________________________16. Trademark Use“Streamlined Design” and “Wavemaster” are trading names and/or trademarks associated with the Company.Purchase of the Products does not grant any right to:• Use the Company’s branding.• Represent affiliation with the Company.• Suggest endorsement by the Company.• Publicly market products using the Company’s trademarks.Any authorised use of branding must be separately approved in writing.________________________________________17. Breach of TermsAny unauthorised use of the Products or Intellectual Property constitutes a breach of these Terms.The Company reserves the right to pursue all available legal remedies including:• Injunctive relief.• Damages.• Recovery of profits.• Legal costs.________________________________________18. Governing LawThese Terms and Conditions are governed by the laws of Western Australia.The parties submit to the exclusive jurisdiction of the courts of Western Australia.________________________________________19. SeverabilityIf any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.________________________________________20. Entire AgreementThese Terms and Conditions constitute the entire agreement between the parties relating to the Products and supersede all prior discussions, representations, or understandings.________________________________________21. AcceptanceBy purchasing, accessing, downloading, or using the Products, the Purchaser acknowledges that they:• Have read and understood these Terms.• Accept these Terms in full.• Understand that the Products are supplied primarily for educational and reference purposes.• Understand that no manufacturing or commercial rights are granted.• Accept all risks associated with interpretation or use of the Products.
